Parts of this Agreement

• This Agreement consists of the following terms and conditions (hereinafter the "General Terms") and terms and conditions if any, specific to the use of individual Services (hereinafter the "Service Specific Terms"). In the event of a conflict between the General Terms and Service Specific Terms, the Service Specific Terms shall prevail.

Acceptance of the Agreement

• You must be of legal age to enter into a binding agreement in order to accept the Agreement. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding Service. You can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.

Description of Service

• We provide cloud software and applications for businesses, including associated offline and mobile applications("Service" or "Services"). You may use the Services for your personal and business use or for internal business purposes in the organisation that you represent. You may connect to the Services using any internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services.

Free Trial

• If you register for a free trial of one or more Services, Service Mingle will make the applicable Services available to you on a trial basis free of charge until the earlier of (i) the end of the free trial period of fifteen (21) days (unless terminated earlier by you), (ii) the start date of the paid subscription period for the applicable Services, or (iii) termination by Service Mingle in its sole discretion. Any data that you enter into the Services and any customizations made to the Services during the free trial will be permanently lost unless you (i) purchase the corresponding paid subscription plan for the account, (ii) purchase applicable Service upgrades, or (iii) export such data before the end of the trial period. Notwithstanding anything contained in this Section, Services are offered as-is during the free trial, without any warranty, covenant, support, or liability whatsoever, to the extent permitted by law.

User Sign-up Obligations

• You need to sign-up for a user account by providing all the required information in order to access or use the Services. If you represent an organisation and wish to use the Services for corporate internal use, we recommend that you, and all other users from your organisation, sign up for user accounts by providing your corporate contact information. In particular, we recommend that you use your corporate email address. You agree to: a) provide true, accurate, current, and complete information about yourself as prompted by the sign-up process; and b) maintain and promptly update the information provided during sign-up to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if Service Mingle has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Service Mingle may terminate your user account and refuse current or future use of any or all of the Services.

Restrictions on Use

• In addition to all other terms and conditions of this Agreement, you shall not: (i) transfer the Services or otherwise make it available to any third party; (ii) provide any service based on the Services without prior written permission; (iii) use the third party links to sites without agreeing to their website terms & conditions; (iv) post links to third party sites or use their logo, company name, etc. without their prior written permission; (v) publish any personal or confidential information belonging to any person or entity without obtaining consent from such person or entity; (vi) use the Services in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of Service Mingle; (vii) violate any applicable local, state, national or international law; and (viii) create a false identity to mislead any person as to the identity or origin of any communication.

Third-Party Applications

• The Services may integrate with third-party applications, websites, and services ("Third-Party Applications") to make available content, products, and services to you. These Third-Party Applications may have their own terms and conditions of use and privacy policies and your use of these Third-Party Applications will be governed by and subject to such terms and conditions and privacy policies. You understand and agree that Service Mingle does not endorse and is not responsible or liable for the behaviour, features, or content of any Third-Party Application or for any transaction you may enter into with the provider of any such Third-Party Applications.

Fees and Payments

• The Services are available under subscription plans of various durations. Payments for the subscription plans are billed in advance. You shall provide Service Mingle with valid and updated credit card information or any other payment information. If you provide credit card information to Service Mingle, you authorise Service Mingle to charge such credit card for all Purchased Services listed in the Order Form for the initial subscription term and any renewal subscription term(s) as set forth in Section 9.2 (Term of Purchased Subscriptions). Such charges shall be made in advance, either annually or in accordance with any different billing frequency stated in the applicable Order Form. If the Order Form specifies that payment will be by a method other than a credit card, Service Mingle will invoice you in advance, and otherwise in accordance with the relevant Order Form. Unless otherwise stated in the Order Form, invoiced charges are due within 30 days from the invoice date. You are responsible for providing complete and accurate billing and contact information to Service Mingle and notifying Service Mingle of any changes to such information.

Organization Accounts and Administrators

• When you sign up for an account for your organisation, you may specify one or more administrators. The administrators will have the right to configure the Services based on your requirements and manage end users in your organisation account. If your organisation account is created and configured on your behalf by a third party, it is likely that such third party has assumed the role of administrator. Make sure that you enter into a suitable agreement with a third party specifying such party’s roles and restrictions as an administrator of your organisation account.

Data Ownership

• We respect your right to ownership of content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of the Services does not grant Service Mingle the licence to use, reproduce, adapt, modify, publish, or distribute the content created by you or stored in your user account for Service Mingle's commercial, marketing, or any similar purpose. But you grant Service Mingle permission to access, copy, distribute, store, transmit, reformat, publicly display, and publicly perform the content of your user account solely as required for the purpose of providing the Services to you.

Data Protection

• Service Mingle complies with applicable data protection laws. For the purpose of providing the Services, we may collect, process, store, and transmit data, including personal data of individuals. You agree to comply with all applicable data protection laws and regulations and to obtain all necessary consents for Service Mingle to collect, process, store, and transmit such data on your behalf. You shall be solely responsible for the accuracy, quality, and legality of any personal data that you provide to Service Mingle.

Confidentiality

• During the course of your use of the Services, you may receive confidential information from Service Mingle. You agree to maintain the confidentiality of the confidential information and not disclose it to any third party without the prior written consent of Service Mingle. Your obligations with respect to confidential information shall survive the termination of this Agreement.

Term and Termination

• This Agreement shall remain in effect until terminated by you or Service Mingle. Service Mingle may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from Service Mingle, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting your user account and ceasing to use the Services. Upon termination of this Agreement, your right to use the Services will cease immediately, and Service Mingle may delete your user account and any data associated with it.

Disclaimer of Warranties

• The Services, including the website and all information, content, materials, and products included or otherwise made available to you through the Services, are provided on an "as is" and "as available" basis, unless otherwise specified in writing. Service Mingle makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included or otherwise made available to you through the Services, unless otherwise specified in writing. You expressly agree that your use of the Services is at your sole risk.

Limitation of Liability

• To the maximum extent permitted by applicable law, Service Mingle and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorised access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Services; (v) or any other matter relating to the Services.

General

• This Agreement constitutes the entire agreement between Service Mingle and you concerning the subject matter hereof and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Services. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement will remain in full force and effect. The failure of Service Mingle to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. This Agreement may not be assigned or transferred by you, in whole or in part, without the prior written consent of Service Mingle. Any attempted assignment or transfer in violation of the foregoing will be null and void. Service Mingle may freely assign or transfer this Agreement without restriction. The section titles in this Agreement are for convenience only and have no legal or contractual effect.
